PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING OR USING THE SITE, YOU AGREE TO BE BOUND BY THESE TERMS AND BY OUR PRIVACY POLICY, WHICH IS INCORPORATED HEREIN BY REFERENCE. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE SITE.

1. Eligibility

The Site is intended for use by businesses and by individuals who are at least eighteen (18) years of age. By using the Site, you represent and warrant that you are at least eighteen (18) years of age and have the legal capacity to enter into these Terms. If you use the Site on behalf of a business or other entity, you represent and warrant that you are authorized to bind that entity to these Terms, and “you” refers to both you and that entity.

2. Use of the Site

2.1 Subject to your compliance with these Terms, the Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your internal business purposes and for evaluating the Company’s services.

2.2 You agree not to:

  1. use the Site in violation of any applicable law or regulation;
  2. submit any information that is false, misleading or that you do not have the right to provide;
  3. attempt to gain unauthorized access to the Site, its servers or any related system or network;
  4. interfere with or disrupt the operation of the Site, including by transmitting any virus, malware or other harmful code;
  5. use any robot, scraper or other automated means to access the Site or to submit forms, except for generally available search engine indexing;
  6. reproduce, modify, distribute, republish or create derivative works from any portion of the Site except as expressly permitted by these Terms; or
  7. use the Site to send unsolicited commercial communications or to impersonate any person or entity.

3. Intellectual Property

The Site and all of its content, including text, graphics, logos, icons, designs, illustrations and software, and the selection and arrangement thereof (collectively, “Site Content”), are owned by or licensed to the Company and are protected by United States and international copyright, trademark and other intellectual property laws. “Solvia,” the Solvia logo, the names and logos of the Company’s products and services, and related names and marks are trademarks of the Company and may not be used without the Company’s prior written permission. Except for the limited license granted in Section 2.1, no right, title or interest in any Site Content is transferred to you, and all rights not expressly granted are reserved by the Company.

4. Information You Submit

4.1 Information you submit through the Site is handled in accordance with our Privacy Policy. You represent and warrant that any information you submit is accurate and that you have the right to submit it. You should not submit confidential or proprietary information through the Site’s forms.

4.2 If you provide the Company with any suggestions, ideas or other feedback regarding the Site or the Company’s services (“Feedback”), you grant the Company a perpetual, irrevocable, worldwide, royalty-free right to use such Feedback for any purpose without obligation to you.

5. No Professional Advice; No Engagement

5.1 The Site Content is provided for general informational purposes only and does not constitute legal, financial, tax, accounting, investment or other professional advice. Examples and illustrations on the Site are provided for illustrative purposes only, and any figures or statistics are provided for general information and may not reflect current conditions. Nothing on the Site constitutes a promise or guarantee of any particular result. Any estimate, projection or savings figure provided through the Site or in a consultation, including any prepared with the assistance of automated or artificial-intelligence tools, is an estimate only and is not a guarantee of any result.

5.2 Submitting a request through the Site, scheduling or attending a complimentary consultation, or receiving any plan, estimate or recommendation from the Company does not create a client relationship or any obligation on the part of either party. Any engagement for services will be governed solely by a separate written agreement executed by you and the Company.

6. Third-Party Links and Services

The Site may contain links to, or rely upon, websites and services operated by third parties. The Company does not control and is not responsible for the content, availability, policies or practices of any third party. Your use of any third-party website or service is at your own risk and is subject to the terms of that third party.

7. Disclaimer of Warranties

THE SITE AND ALL SITE CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. THE COMPANY DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

8. Limitation of Liability

8.1 TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY OR ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY, EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8.2 TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100.00).

8.3 Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some of the above exclusions and limitations may not apply to you.

9. Indemnification

You agree to indemnify, defend and hold harmless the Company and its members, managers, officers, employees and agents from and against any and all claims, liabilities, damages, losses, costs and expenses, including reasonable attorneys’ fees, arising out of or relating to (a) your use of the Site, (b) your violation of these Terms, or (c) your violation of any law or the rights of any third party.

10. Suspension and Termination

The Company may suspend or terminate your access to all or any part of the Site at any time, with or without notice, for any reason, including any breach of these Terms. Sections 3, 4, 5, 7, 8, 9, 11, 14, 15 and 17 shall survive any termination of your access to the Site.

11. Governing Law and Venue

These Terms and any dispute arising out of or relating to them or to the Site shall be governed by the laws of the State of New York, without regard to its conflict of laws principles. You agree that any action or proceeding arising out of or relating to these Terms or the Site shall be brought exclusively in the state or federal courts located in Erie County, New York, and you consent to the personal jurisdiction of such courts.

12. Changes to These Terms

The Company may revise these Terms at any time by posting the revised Terms on the Site with a revised “Last Updated” date. Revised Terms take effect upon posting. Your continued use of the Site after the posting of revised Terms constitutes your acceptance of the revised Terms.

13. Changes to the Site

The Company may modify, suspend or discontinue the Site or any part of it at any time without notice or liability to you.

14. Severability; Waiver

If any provision of these Terms is held to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible and the remaining provisions shall remain in full force and effect. The Company’s failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

15. Entire Agreement; Assignment

These Terms, together with the Privacy Policy, constitute the entire agreement between you and the Company regarding the Site and supersede all prior understandings regarding the same subject matter. These Terms do not govern any services engagement or the use of any software, platform or application offered by the Company, each of which is governed solely by the applicable written agreement or terms. You may not assign these Terms without the Company’s prior written consent. The Company may assign these Terms without restriction.

16. Electronic Communications

By using the Site or communicating with the Company electronically, you consent to receive communications from the Company electronically, including by email and by posting on the Site, and you agree that all agreements, notices, disclosures and other communications provided to you electronically satisfy any legal requirement that such communications be in writing.
